Nissan, former CEO, director charged for concealing more than $140 million of compensation, retirement benefits from investors

( September 23, 2019, 19:51 GMT | Official Statement) -- MLex Summary: Nissan, former CEO Carlos Ghosn, and its former director Greg Kelly have agreed to settle fraud charges by the US Securities and Exchange Commission, related to false financial disclosures that fraudulently concealed more than $140 million to be paid to Ghosn in retirement, the SEC said. According to the SEC's orders and complaint, from 2009 until his arrest in November 2018, Ghosn, with help from Kelly and subordinates at Nissan, engaged in a scheme to conceal more than $90 million of compensation from public disclosure, while also taking steps to increase his own retirement allowance by more than $50 million. "Investors are entitled to know how, and how much, a company compensates its top executives, Ghosn and Kelly went to great lengths to conceal this information from investors and the market," said Stephanie Avakian, Co-Director of the SEC's Division of Enforcement.Statement follows below:...
