Vietnam issues new merger control guidelines, to take effect May 15

( April 8, 2020, 08:35 GMT | Official Statement) -- MLex Summary: Vietnam has issued the guidelines to implement the provisions on merger control, abuse of dominance and anti-competitive agreements of its amended competition law, which came into effect on July 1, 2019. The guidelines, contained in Decree 35/2020/ND-CP, regulate acquisition of “control” by one party over another, such as by holding more than 50 percent of the voting shares, or obtaining the power to decide on material matters. The merger notification threshold for most companies was set at 3,000 billion dong ($130 million) for total assets or turnover in the Vietnamese market, or 1,000 billion dong ($40 million) for transaction value, or if the combined market share of the participating parties in the relevant market is at least 20 percent. Higher thresholds were set for insurance and securities firms. A preliminary review will take 30 days, while an official review will take 90 days, extendable for another 60 days.
