Japan's METI proposes supplementary guidance on corporate takeover rules

( June 3, 2026, 02:51 GMT | Official Statement) -- MLex Summary: Japan’s Ministry of Economy, Trade and Industry has proposed supplementary guidance to its 2023 corporate takeover guidelines, clarifying that desirable mergers and acquisitions are those that enhance corporate value and are not necessarily the transactions offering the highest tender price. A METI panel released draft key points and a draft set of questions and answers intended to clarify the guidelines. The proposed guidance says that a takeover proposal may be viewed as lacking a credible rationale if completion is unlikely because of a low probability of obtaining antitrust or foreign direct investment approvals. The proposals also urge target company management to assess the characteristics of bidders and their investors, including their compliance frameworks, to help prevent a decline in corporate value in the future.
