US DOJ, California file proposed settlement in ready-mix concrete merger
( May 22, 2026, 01:42 GMT | Official Statement) -- MLex Summary: The US Department of Justice and the California Attorney General are requiring Taiheiyo Cement Corporation and CalPortland Company to divest assets to proceed with acquisition of ready-mix concrete assets from Vulcan Materials Company. The proposed settlement requires a divestiture package that will preserve competition for the supply of ready-mix concrete, the DOJ's Antitrust Division said in a statement. The DOJ and California filed a civil antitrust lawsuit in the US District Court for the District of Columbia to block the proposed transaction. The proposed settlement filed alongside the complaint at the same time, which needs to be approved by the court, will address concerns that the transaction would likely cause higher prices, lower quality and less favorable terms for buyers of ready-mix concrete, the DOJ said.Statement follows.
