"could reasonably be expected to lead to" a superior proposal as defined in WBD's deal with Netflix, according to the Warner Bros. Discovery board of directors. Paramount's revised bid includes a purchase price of $31 per share, plus a daily ticking fee equal to $0.25 per quarter beginning after Sept. 30, 2026, and a $7 billion termination fee in the event that the transaction does not close due to regulatory matters.
