Australia's final merger waiver form keeps extensive upfront detail requirements

Australia’s Treasury department on Monday published the final version of the form, which will be available for use from Jan. 1. It includes two new questions, one asking whether dealmakers are seeking a confidential review. An accompanying Treasury update and an interim guidance from the Australian Competition & Consumer Commission clarified that the “confidential” waiver processes will be available for surprise hostile takeovers, keeping such bids confidential until they are announced.
