US DOJ sees potential competitive concerns in proxy advisory industry

The agency said ISS's business practices have changed to include corporate consulting services, making the letter inapplicable after the DOJ has clarified that while antitrust safe harbors for passive investment protect most beneficial corporate governance advocacy, they do not protect the use of commonly held stock in competitors to encourage market-wide reductions in output or other anticompetitive conduct.See attached file....
