Edwards Lifesciences, Genesis Medtech to pay $12m for HSR noncompliance

( July 13, 2026, 16:34 GMT | Official Statement) -- MLex Summary: Edwards Lifesciences Corp. and Genesis Medtech Group will pay $10 million and $2 million, respectively, in civil penalties after failing to comply with the Hart-Scott-Rodino Act, according to a complaint and proposed final judgment filed by the US Department of Justice. Edwards worked to acquire JC Medical from Genesis alongside its pursuit of JenaValve Technologies, and allegedly specifically sought to avoid triggering Hart-Scott-Rodino Act reporting thresholds with the deal. Edwards ultimately acquired JC Medical for $115 million, just below the $119.5 million threshold, but also made an investment in Genesis of $10-$35 million to close the gap in valuation.See attached files....
