California ‘mini-HSR’ bill passes state Senate, presented to governor
By Wesley Brown ( February 6, 2026, 16:59 GMT | Insight) -- California’s state premerger notification bill passed the Senate Monday and was presented to Governor Gavin Newsom on Feb. 5 at 3 p.m. Senate Bill 25 derives from the Uniform Law Commission’s Uniform Antitrust Premerger Notification Act and would require companies to file with the state if they 1) meet the minimum federal threshold and file Hart-Scott-Rodino Act filings, and 2) have the principal place of business in California or net sales of 20 percent (or more) of the HSR threshold for goods and services in California.California’s state premerger notification bill passed the Senate Monday and was presented to Governor Gavin Newsom on Feb. 5 at 3 p.m....
