Lotte Chemical, HD Hyundai Chemical file planned merger with South Korean regulator

( November 26, 2025, 05:01 GMT | Official Statement) -- MLex Summary: Major South Korean petrochemical producers Lotte Chemical and HD Hyundai Chemical have filed a preliminary merger-review application with the Korea Fair Trade Commission as part of a government-led restructuring of the petrochemical sector. Under the proposed deal, Lotte Chemical will first spin off its Daesan plant into a new subsidiary, which will then merge with HD Hyundai Chemical. HD Hyundai Chemical will remain as the surviving entity, while the spun-off company will be dissolved. Following the merger, Lotte Chemical will acquire additional shares so that Lotte Chemical and HD Hyundai will each hold a 50 percent stake in the combined company. The KFTC said it will continue to guide companies on avoiding anticompetitive risks during restructuring, including by providing information-exchange compliance guidance, and will encourage companies to use the pre-merger consultation system to help shorten the formal review process.The statement, in Korean, is attached....
