US FTC’s Meador criticizes Synopsys, Ansys for bad-faith conduct in merger order compliance

Meador issued a sharp rebuke of Synopsys and Ansys, accusing the companies of acting in bad faith by closing their $35 billion merger before fulfilling divestiture obligations required under a consent order. In a statement accompanying the final order from Oct. 17 but published Nov. 6 on the agency's website, Meador said the parties misled the agency about their ability to complete the mandated sale of assets to Keysight Technologies, calling their conduct a waste of “considerable agency and taxpayer resources.”See statement attached....
