South Korea's Lotte Cultureworks, Megabox seek pre-filing consultation for merger

( July 10, 2025, 04:00 GMT | Official Statement) -- MLex Summary: Lotte Cultureworks and Megabox JoongAng, the second- and third-largest cinema chains in South Korea, have submitted a pre-filing consultation request to the Korea Fair Trade Commission for their planned merger. The companies signed a memorandum of understanding in May and requested the preliminary consultation to help the regulator expedite the formal merger review process. Under the proposed merger, one company will be dissolved while the other will remain as the surviving entity. It has not yet been decided which company will survive. Lotte Cultureworks is 86.37 percent owned by Lotte Shopping, while Megabox JoongAng is 95.98 percent owned by Contentree JoongAng. Lotte Shopping and Contentree JoongAng plan to jointly control the surviving entity with equal ownership.The statement, in Korean, is attached....
