BGC acquisition deal amended, clock restarts on Australian review

( June 2, 2025, 03:49 GMT | Official Statement) -- MLex Summary: The review of the proposed BGC Cementitious acquisition has restarted after deal revisions that now includes a fourth acquirer, Adbri, in addition to Cement Australia, Holcim and HMA, the Australian competition watchdog said. In an update to its website, the Australian Competition & Consumer Commission said that in response to the regulator’s preliminary antitrust concerns, Cement Australia, Holcim, and HMA “put forward a restructured proposed transaction with BGC’s support, that incorporates Adbri” as a party. Under the restructured deal, Adbri, an Australian building materials supplier owned by CRH ANZ and the Barro Group, will acquire certain assets from BGC Cementitious, while Cement Australia, Holcim and HMA will acquire the remaining assets.The update on the Australian Competition & Consumer Commission website follows; the amended market inquiries letter is attached:...
