Japan's Shionogi to acquire Torii Pharmaceutical from Japan Tobacco for $1 billion

( May 7, 2025, 08:41 GMT | Official Statement) -- MLex Summary: Japanese pharmaceutical company Shionogi has agreed to acquire shares of Torii Pharmaceutical from Japan Tobacco, which holds a 54.8 percent stake in Torii, through a tender offer and other means. In addition, Shionogi will purchase Japan Tobacco’s US pharmaceutical company, Akros Pharma. The total transaction value is estimated at between 150 billion yen and 160 billion yen, or approximately $1 billion. Japan Tobacco said that the deal is subject to a successful tender offer and the necessary regulatory clearances in Japan and abroad. The tender offer is scheduled to run from May 8 to June 18, 2025, while the transfer of Torii shares via an absorption-type split is expected to take effect in December 2025.
