New US premerger notification form takes effect in February

Parties to mergers and acquisitions must submit premerger notification forms that disclose information about their proposed deal and business operations to the FTC and US Department of Justice. The FTC voted unanimously to issue the new rule Oct. 10 (see here and here). The rule updates the information parties to a deal must provide to the agencies. Until Feb. 10, filers should continue to use the current Hart-Scott-Rodino Form and Instructions, the FTC said in a blog post. The FTC’s Premerger Notification Office (PNO) will soon post an overview of the HSR form changes on its website. Once that is posted, practitioners can submit questions and PNO staff will post answers, the FTC said in an email. The PNO will be updating other form-related guidance, including instructions on how to submit required new materials along with the form.
