The transaction involves a cash payment of 11,962 million reais ($5.251 million) and newly issued shares representing 12% of the share capital of the new Telefónica Brasil, after its combination with GVT. Telefónica will also give Vivendi the option of purchasing 8.1 percent of Telecom Italia. Telefónica is listed on the Buenos Aires, Lima, London, Madrid and New York stock exchanges.
